Dear Club Member,
You are invited to a Special General Meeting (SGM) on Monday 10 August 2026 at 7pm at
Oundle RFC Clubhouse.
The purpose of the meeting is to vote on the ORFC Committee’s proposal to change the Club
into a charity.
Update
In recent emails, we explained that the Club needs to review its current CASC status because
of our growth and recent progress. A working group has been looking at the best way forward
so we can keep building a strong, community-based sports club.
At the meeting, we will explain the proposed new constitution and the possible structure of
the Club if a Charitable Incorporated Organisation (CIO) is created.
The proposed constitution would make sure that the Trustees of the new charity always act in
the genuine, best interests of the Club.
This would include:
• All Trustees must be Club Members.
• Trustees must act in the best interests of rugby at the Club.
The proposed new Constitution is being prepared with support from solicitors who are
guiding us through the process. Members will be asked to vote on the final version at a later
date.

Who can vote and proxy voting
Voting is open to fully paid members for the 2025/26 season, life members, and life VPs.For family memberships, there is one vote per membership, as long as the voting member is
over 18.
If you cannot attend the meeting, you can ask someone who is attending to vote on your
behalf. This is called a proxy vote. Please let me know who will act as your proxy at least 24
hours before the meeting.
